BSJP law firm has advised French group Alliando on the acquisition of Polish joint-stock company Bayleg, the second largest distributor of veterinary products in Poland.
Strategic investor and client of BSJP, independent Allinado Group, was founded in 1989 by Jacques Mignot. After a period of strong organic and external growth in France, Alliando's management embarked on an internationalization strategy in 2015, which resulted in the group's establishment in Spain and in a number of West African countries. With a turnover of ca. EUR 400 million and 300 employees, Alliando is the second largest distributor of veterinary products on the European market and the leader in the retail pharmacy, producer group and industrial veterinary practice channels.
Bayleg is the second largest distributor of veterinary products in Poland. Founded in 1989 by Andrzej Woźnica, Bayleg had a turnover of nearly EUR 45 million in 2020 and employed ca. 100 workers.
This transaction contributes to the Alliando Group's strategic plan to strengthen its position on the European markets. The synergies between the two entities should make it possible to meet the challenges of improving operational efficiency: developing a European distribution network while strengthening distribution channels.
BSJP's team provided comprehensive legal services to the buyer regarding preparation of transaction documents, transaction closing and post-transaction activities.
