BSJP law firm has advised the founders of No Fluff Jobs sp. z o.o., a company managing an internet portal with job offers from the IT industry, on legal issues related to the acquisition of the majority shareholding in No Fluff Jobs by Ringier Axel Springer Polska AG.
This is another transaction between the two entities in which our law firm has assisted. In 2018, we had the pleasure to provide legal advisory services to the shareholders of No Fluff Jobs during the sale of the first tranche of shares (44%) to Ringier Axel Springer Media (the predecessor of the Ringier Axel Springer Polska).
In both transactions, comprehensive support for the seller was provided by Dag Nilsson, Head of M&A, and Aleksandra Chojnowska. The scope of the legal advice services provided by BSJP included, in particular, advising on the process of negotiating the investment agreement, shareholders’ agreement and other transaction documentation.
No Fluff Jobs is the owner of nofluffjobs.com, one of Europe’s largest websites with job offers for IT professionals, which has introduced the idea of transparent recruitment. In each job advert it is mandatory to include the salary range, as well as additional information regarding a given job position – from the technology pile to the bonuses offered by employers. The service portal was established in 2014 and currently operates across 5 European markets: Poland, Czechia, Slovakia, Ukraine and Hungary, with more than 130 employees.
The majority shareholding (70%) of the company to be sold will be acquired by Ringier Axel Springer Polska which manages several dozen of well-known media brands in Poland, as well as digital and e-commerce services. The investment is intended to support the dynamic growth of No Fluff Jobs and the company’s further expansion into the global market.
